Secretary Robert O. Work to Chair the U.S. Naval Institute Board

ANNAPOLIS, MD–July 25, 2019–The United States Naval Institute announced today that Secretary Robert O. Work, former U.S. Deputy Secretary of Defense, has accepted the invitation to become Chair of the Board. Bob Work is currently a member of the Board of Directors and has been a member of the Naval Institute since 1974. He will succeed Admiral James Stavridis, USN (Ret.), who had been serving as Board Chair since 2013 and steps down after six years. Board terms are limited by the Naval Institute By-Laws. However, Jim Stavridis will continue his remarkable and long arc of association with the Naval Institute—serving as Chair Emeritus.

"Bob Work is one of the most creative and engaged thinkers in the national defense community today," said Vice Admiral Peter Daly, U.S. Navy (Ret.), Chief Executive Officer and Publisher of the U.S. Naval Institute. "The last six years with Jim Stavridis as Chair of the Board have been marked by remarkable progress at the Naval Institute, and Bob Work is just the right person to continue the Institute's very positive momentum."

Secretary Work is currently the Distinguished Senior Fellow for Defense and National Security at the Center for a New American Security, Senior Counselor at Telemus Group, LLC, Senior Fellow at Johns Hopkins Applied Physics Lab, and Distinguished Visiting Fellow at MITRE Corporation.

Confirmed as the 32nd Deputy Secretary of Defense on April 30, 2014, Bob Work served for three Defense Secretaries in both Democrat and Republican administrations. In that role he was responsible for overseeing the day-to-day business of the Pentagon and developing the Department's defense program. He did significant work with leaders in the Department and the intelligence community to develop the "Third Offset Strategy," which aimed to restore U.S. conventional overmatch over its strategic rivals and adversaries.

He had previously served as Undersecretary of the Navy from 2009 to 2013.

In 2002, he joined the Center for Strategic and Budgetary Assessments (CSBA), first as the Senior Fellow for Maritime Affairs, and later as the Vice President for Strategic Studies. In these positions, he focused on defense strategy and programs, revolutions in war, Department of Defense transformation, and maritime affairs.

A distinguished graduate of the Naval Reserve Officers Training Course at the University of Illinois, Bob Work was commissioned a second lieutenant in the U.S. Marine Corps in August 1974. During his 27-year military career, he held a wide range of command, leadership, and management positions.

He earned a Bachelor of Science degree in Biology from the University of Illinois; a Master of Science in Systems Management from the University of Southern California; a Master of Science in Space System Operations from the Naval Postgraduate School; and a Master of International Public Policy from the Johns Hopkins School of Advanced International Studies. He is a member of the Council on Foreign Relations (CFR) and the International Institute for Strategic Studies (IISS).

"The Naval Institute has a long history with many visionaries and strategic thinkers who have played a major role in challenging conventional wisdom," said Daly. "Bob Work ‘s forward-thinking will certainly continue this tradition."

Admiral Stavridis, a former Supreme Allied Commander of NATO and Dean of The Fletcher School of Law and Diplomacy, is today an operating executive of the international private equity firm The Carlyle Group and Chair of the Board of Counselors at McLarty Global Associates, the international strategic consulting firm, both based in Washington, DC. He said, "I began my work with the Naval Institute over four decades ago as a midshipman at Annapolis, and I have been lucky enough over the years to publish in Proceedings at every rank and write six books with the Naval Institute Press. USNI has been a fundamental part of my life, and I look forward to continuing to be involved as Chair Emeritus. Above all, I am thrilled to give the conn to my friend and shipmate of so many years, former USMC Colonel and Deputy Secretary of Defense Bob Work. He will be superb!"

Two Proposed Changes to the Constitution and Bylaws Approved by the Board of Directors for Inclusion on the Member Ballot:

1.  Note from the CEO.  The proposed change allows members of the Board of Directors to reset their six-year total service clock if they have been off the board for six years or more. The rationale for this is to encourage and allow those who served on the Board when younger to retain full-term eligibility to serve again after a significant break. For example, we have several Directors who served on the Board/Editorial Board as active-duty officers and chief petty officers. After a six-year break, we want to allow those who served while in uniform to be able to serve up to six more years on the Board in the future.

WHEREAS, Section 3.4.2 of the Amended and Restated Constitution and Bylaws (the "CBL") of The United States Naval Institute (the "Institute") provides that no person may serve as an Elected Director or Appointed Director for more than six years cumulatively (the "Director Limitation"); and

WHEREAS, the Board of Directors (the "Board") believes that regular turnover on the Board is beneficial to the Institute, but that the Director Limitation is too restrictive and may unnecessarily impede the Institute's ability to obtain qualified and dedicated directors in the future; and

WHEREAS, the Board believes that imposing a minimum period during which a Director is not eligible to serve on the Board following a specified period of continuous Board membership, but allowing the Director to be eligible to be elected to the Board after such mandatory ineligibility period has expired is in the Institute's best interest; and

WHEREAS, the Board has reviewed the proposed amendment set forth below, as recommended to it by the Nominating and Governance Committee.

NOW THEREFORE, BE IT RESOLVED AS FOLLOWS:

RESOLVED, that the proposed amendment set forth below be approved by the Board and submitted to the Members of the Institute pursuant to Section 11.1 of the CBL for their approval:

Section 3.4.2 of the CBL, which read as follows:

No Director shall serve more than 6 years cumulatively as an Elected Director or as an Appointed Director.  After a Director has served as an Elected Director or an Appointed Director for a total of 6 years, the individual is not eligible to serve again as an Elected Director or as an Appointed Director.

Is hereby replaced in its entirety and shall hereafter read as follows:

No Director shall be eligible to serve for more than six years cumulatively as an Elected Director or as an Appointed Director until at least six consecutive years shall have passed since the Director last served as an Elected Director or as an Appointed Director (the "Non-Service Period").  Following any six-year Non-Service Period, a Director shall once again be eligible to serve as an Elected Director or an Appointed Director for another six cumulative years.

2. Note from the CEO: The proposed change modifies the last two words in the Naval Institute's mission statement from "national defense" to "global security." In our revised Strategic Plan, we emphasize the need to address both national and international issues, not just defense and DOD issues within a U.S. context only. The Board recommends this change to "global security" to reflect that Proceedings, the Naval Institute Press, USNI News, and our conferences seek to address a wider range of security issues of global consequence.

RESOLUTION TO AMEND THE AMENDED AND RESTATED CONSTITUTION AND BYLAWS OF THE UNITED STATES NAVAL INSTITUTE

WHEREAS, Section 1.2 of the Amended and Restated Constitution and Bylaws (the "CBL") of The United States Naval Institute (the "Institute") provides for the Mission of the Institute to be "to provide an independent forum for those who dare to read, think, speak, and write in order to advance the professional, literary, and scientific understanding of sea power and other issues critical to national defense"; and

WHEREAS, the Board of Directors (the "Board") believes that the reference to "national defense" in the Mission should be changed to reference "global security" to more accurately reflect challenges facing the United States; and

WHEREAS, the Board believes that an editorial change should be made in the Mission to make the statement shorter and have more impact by deleting the words "in order" from Section 1.2 of the CBL; and

WHEREAS, the Board has reviewed the proposed amendment set forth below, as recommended to it by the Nominating and Governance Committee.

NOW THEREFORE, BE IT RESOLVED AS FOLLOWS:

RESOLVED, that the proposed amendment set forth below be submitted to the Members of the Institute pursuant to Section 11.1 of the CBL for their approval:

Section 1.2 (Mission) of the CBL, is amended to (i) delete the words "in order"; and (ii) delete the words "national defense" and substitute the words "global security" so that Section 1.2 of the CBL will read as follows:

1.2       Mission.  The Mission of the Institute is "to provide an independent forum for those who dare to read, think, speak, and write to advance the professional, literary, and scientific understanding of sea power and other issues critical to global security."

United States Naval Institute Appoints Admiral James G. Stavridis Chair of the Board

ANNAPOLIS, MD — The U.S. Naval Institute announces with distinct pleasure that Admiral James G. Stavridis, U.S. Navy, accepted the appointment as the U.S. Naval Institute's Chair of the Board of Directors. Admiral Stavridis' appointment will take effect following his anticipated retirement from active duty in mid-summer 2013.

Admiral Stavridis anticipates departing his current duties this summer as combatant commander for all U.S. forces in Europe; as Commander, European Command; and as NATO's Supreme Allied Commander, posts he has held since early summer 2009. In his role as Supreme Allied Commander, he has directed the NATO efforts in Afghanistan, commanded the NATO operations in Libya in 2011, led security in the Balkans, developed a successful counter-piracy campaign off the coast of East Africa, implemented an improved missile-defense posture for Europe and successfully expanded alliance partnerships throughout the world.

Speaking for all members of the Board of Directors, Acting Chair Vice Admiral Nancy Brown, U.S. Navy (Ret.) said, "We are delighted and honored by Admiral Stavridis' acceptance. He is a distinguished officer and an individual of the very greatest accomplishments whose contributions epitomize the mission of the U.S. Naval Institute. This is an exciting time for the Naval Institute. It will be in the very best of hands with him at the helm of our Board."

Admiral Stavridis is a 1976 distinguished graduate of the U.S. Naval Academy, a U.S. Naval Institute Life Member, and renowned author or editor of four Naval Institute books. He and his wife, Laura Hall Stavridis, are prize-winning Naval Institute Press Co-Authors of the Year.  He is also a previous winner of the Naval Institute Proceedings Author of the Year.

A surface warfare officer, he commanded the destroyer USS Barry (DDG-52) from 1993-1995. The Barry won the Battenberg Cup as the top ship in the Atlantic Fleet under his command. In 1998, he commanded Destroyer Squadron 21 deploying to the Arabian Gulf and winning the Navy League's John Paul Jones Award for Inspirational Leadership.

From 2002 – 2004, he commanded the Enterprise Carrier Strike Group, conducting combat operations in the Arabian Gulf in support of Operation Iraqi Freedom and Operation Enduring Freedom. From 2006 – 2009, he commanded U.S Southern Command in Miami, focused on Latin America and the Caribbean.

Ashore, Admiral Stavridis has served as a strategic and long-range planner on the staffs of the Chief of Naval Operations and the Chairman of the Joint Chiefs of Staff. He also served as the executive assistant to the Secretary of the Navy and as senior military assistant to the Secretary of Defense.

Admiral Stavridis earned a PhD and MALD in international relations from The Fletcher School of Law and Diplomacy at Tufts University in 1984, winning the Guillon Prize as outstanding student. He is also a distinguished graduate of the National War College and the Naval War College. His decorations and awards include two awards of the Defense Distinguished Service Medal and the Defense Superior Service Medal, and five awards of the Legion of Merit.  He holds sixteen international medals and decorations as well.

He is author of Destroyer Captain and co-editor of the Watch Officer's Guide, Division Officer's Guide, and Command at Sea, all published by the Naval Institute Press. He also wrote Partnership for the Americas, about Latin America, published by National Defense University Press.  From the rank of ensign through admiral, he has published more than three dozen major essays and commentaries in the Naval Institute's flagship journal Proceedings, in addition to another fifty articles in other security publications.

Upon learning of his selection by the board, Admiral Stavridis said, "I am passionate about the Naval Institute, which has been the intellectual heart of our Naval profession for well over a century – Navy, Marine Corps, Coast Guard, and Merchant Marine.  I look forward to taking on this responsibility after retirement from the Navy."

To All Naval Institute Members:

I am pleased to post the U.S. Naval Institute's draft, revised Constitution and Bylaws for your review and comment.

It is clear with the passage of time and events of recent years that updates and revisions are required if this governing document is effectively to serve the Institute and its Members in the fulfillment of our mission. It is important to underscore at the outset that the mission of the Institute – To provide an independent forum for those who dare to read, think, speak, and write in order to advance the professional, literary, and scientific understanding of sea power and other issues critical to national defense – remains unchanged.

Transparency is our goal, and we invite your feedback. We have been engaging in a deliberate drafting and review process with the Board of Directors and face-to-face meetings with samplings of Members. The Board has now approved posting the draft revision. Your comments are important in this process. It takes a vote by Members to make any change to our Constitution and Bylaws, and a two-thirds majority of those who vote is required to carry any proposal. Based on Member feedback, we will decide whether or not to include changes to the Constitution and Bylaws on the ballot in early 2013 for a formal vote by Members.

The proposed revision to the Constitution and Bylaws strengthens Member rights and provides greater clarity and definition on the manner in which the Board, elected by the Members, will direct the Institute and conduct its business.

To assist you in your review, I highlight that in the draft revision:
